Tempest Therapeutics is no longer the small-molecule oncology shop that entered last year. A February asset purchase handed the Brisbane company a dual-targeting cell-therapy stack from Erigen and Factor Bioscience, installed Factor's founder as chief executive, and transferred voting control in a single stock issuance. What did not arrive with the pipeline was a funded development plan. Mid-year cash had already fallen to $779,000. The equity account flipped into deficit, and the auditor's going-concern language remains on the page.

The investment debate is whether partner-run China data on the lead autologous program can be converted into a financed United States study before listing and liquidity constraints close the window. Novatim-sponsored myeloma studies have posted complete responses in every naive evaluable patient disclosed so far, and Cincinnati Children's has taken delivery of lentiviral vector for a planned registrational start. Those clinical headlines sit on a balance sheet that cannot pay for a domestic pivotal trial. Nasdaq has already flagged stockholders' equity against the $2,500,000 Capital Market floor.

The second quarter cut research spend and still consumed cash faster than the remaining balance can support. Cash used in operations reached $10,400,000 in the first half. A May warrant inducement and a September private placement priced under one dollar only refill weeks of burn. Lincoln Park's equity line adds capacity on paper, subject to an exchange cap and a thin float. The next several months resolve a single question. Can Tempest raise enough clean capital to keep the listing and start the lead autologous program in the United States, or does the recap collapse into serial dilution around a partner-owned China dataset?
