TJGC Group (TJGC): Agency Equity Repriced on an Unbooked Pivot

TJGC Group is a British Virgin Islands holding company whose only proven cash engine is a small Hong Kong mobile-game advertising shop, and the equity has been re-rated as if that shop were already a hardware franchise. The operating company still books campaign fees through CTRL Media. The market, after a Nasdaq halt, a reverse split, a dual-class recut, and a pair of artificial-intelligence announcements that do not include a customer, is treating the name as a data-center story. That gap between what the agency earns and what the listing now implies is the entire investment debate.

The audited year that ended in late March produced about HK$29 million of revenue and a net loss of about HK$24 million. Kreit and Chiu attached substantial-doubt language to the annual opinion, and impairments on outsourced game work and exhibition ventures already showed that the last diversification attempt did not pay. Cash at year-end was thin against the operating burn, which is why the April registered offering and the later shelf exist. Those capital-markets tools keep the listing alive. They also tell public holders how the next chapter is likely to be financed.

The September appointment of Kalvin Kwok to run Tongjiang, with a contingent forty-nine percent economic slice that vests only after a first binding purchase order, is the cleanest admission that the hardware story has not started. The August license talks were disclosed as negotiations with no assurance of a definitive contract. The question the next several months resolve is simple: does a named order or a signed license appear before the shelf and the new share classes turn this re-rating into dilution of the advertising residual.
