Gentherm is no longer just a seat-heater supplier waiting on light-vehicle schedules. The June quarter showed Climate Control Seats and lumbar-and-massage systems taking more content per vehicle even as relevant-market production contracted. That content story is now colliding with a Reverse Morris Trust that folds Modine Manufacturing's Performance Technologies unit into the company and hands a large minority of the combined equity to Modine shareholders. The investment debate is whether scale in thermal management is worth the dilution and the mix shift into commercial vehicles and power generation.
Product revenue reached $416 million, an eleven percent increase that management says outpaced relevant light-vehicle production by a wide margin. Automotive Climate and Comfort Solutions did the work. Lumbar and Massage Comfort Solutions jumped by more than a third, which is the cleanest evidence that take rates and new programs, not just factory schedules, are carrying the print. Adjusted earnings before interest, taxes, depreciation, and amortization still expanded in absolute terms, but the margin slipped as warranty accruals and delayed inflation recovery ate the operating leverage. Cash from operations nearly vanished once merger and restructuring cash hit the statement.
Shareholders approved the share issuance in September, and the combination is scheduled to close in early October if remaining conditions hold. The board also replaced a leftover repurchase authorization with a new $400 million program and raised standalone product-revenue guidance. The market is being asked to pay a mid-single-digit multiple of standalone adjusted earnings power for a company that is about to become a larger, more industrial thermal platform. Whether that platform earns a higher multiple or simply dilutes the content compounder is the question the close and the first combined quarters have to answer.
