Tavia Acquisition Corp. signed a non-binding letter of intent in mid-July 2026 to take Vita Inclinata Technologies, a London-based defense and industrials company, public on Nasdaq through a de-SPAC. The proposed transaction values Vita at a pre-money enterprise value of $450 million, contingent on Vita completing its own pending strategic acquisition within the defense and industrials market. That contingency matters more than the headline number, because it means the deal architecture rests on a second, unannounced business transaction that Tavia shareholders have not yet vetted.
The SPAC entered 2026 in a weakened position. The June shareholder extension meeting carried the deadline to early March 2027. The vote, however, triggered redemptions of more than seven million ordinary shares at roughly $10.66 per share and drained over $76 million out of the trust. The trust balance fell by more than half in the first half of the year, and the company now has roughly nine months to close a deal. The trust holds less than the cash that was available at the original December 2024 IPO close.
The strongest evidence supporting the case for TAVI common is the LOI itself, which anchors a named target in the defense and industrials sector at a specific enterprise value and includes a 45-day exclusivity window with a definitive agreement expected within thirty days. The most important counterargument is that the LOI is non-binding, the target's own pending acquisition is unproven, and the trust's reduced size constrains any ability to fund the post-combination company. The forward variable that resolves the thesis is whether the Vita LOI converts into a signed business combination agreement by early August, and whether the trust can be replenished through a PIPE or sponsor backstop before the March 2027 deadline.
At $10.76 per share, TAVI common trades at a modest premium to the trust redemption value of approximately $10.70 per share. The stock carries thin liquidity, with average daily volume in the low thousands, typical of a late-stage SPAC with a single pending transaction.
