Companhia Siderurgica Nacional is no longer being priced as a simple Brazilian steel recovery. The American depositary receipt is a thin residual claim on a family-controlled industrial stack after a year of rating cuts and a mid-year print that improved operations without shrinking the debt. Benjamin Steinbruch handed the chief executive role to Fabio Schvartsman, the former Vale operator, and moved to the board chair in early September. The mandate is explicit. Close the cement-control sale and a minority slice of the rail-and-port arm that the board authorized in January as a path to cut group borrowings by a large block of reais. The equity debate is whether an outside operator can convert a year of sale headlines into signed proceeds that actually retire debt, or whether the founder-chairman keeps the assets that the credit market already treats as pledged.
The June quarter showed the operating engine is not broken. Adjusted earnings before interest, taxes, depreciation, and amortization rose about 5 percent both sequentially and versus the year-ago period. Steel's segment margin climbed from a 7 percent first-quarter print. The second-quarter steel margin reached ten and a half percent as Brazilian anti-dumping curbs cut import pressure. Cement posted a second straight record contribution, and reported free cash flow flipped positive after inventory destocking. That operating story sits under a still-heavy capital structure. Net debt ended the quarter near $8 billion. Leverage sat near three and a half times last-twelve-month earnings before interest. The income statement still absorbed a wide net loss as financial charges and currency marks overwhelmed the better plants.
The next several months resolve a single question. Does Schvartsman sign a cement sale near the binding bids already on the table, or does another late holdout leave the holdco carrying both the plants and the interest bill? A joint bid from Votorantim and Cementir lapsed in early September without acceptance, while Chinese and domestic names remain in the field at a discount to the original ask. Ratings already sit in distressed territory at more than one agency. If a sale funds a visible step-down in net borrowings, the receipt is a cheap option on a still-vertical group. If the process slips again, the residual equity stays a claim behind a stack that cash generation alone has not been able to shrink.
