The RMR Group is a Newton-based real estate manager whose public clients spent two years selling assets, refinancing debt, and in one case walking through bankruptcy court, and that cleanup is now the whole equity story. Repair work at Diversified Healthcare Trust and Industrial Logistics Properties Trust has put calendar incentive fees on pace well above last year's $24 million. The same asset sales and recapitalizations that produce those fees also shrink the perpetual capital base that pays the ordinary management bill. The fiscal third quarter closed on June 30, 2026. What the market is really pricing is whether a captive manager can convert client repair into durable cash without giving back the fee franchise.
Cash generation improved even as reported income was a wash. An Office Properties Income Trust contract write-down of $19 million sat against mark-to-market gains near $21 million on the Service Properties Trust stake and other holdings. Distributable earnings of $0.48 covered the regular $0.45 dividend. Recurring service revenue rose sequentially to $45 million as managed REIT enterprise values firmed and the Greenwich multifamily closing dropped acquisition fees. Private capital, the intended offset to a shrinking public fee base, still waits on a frozen fundraising market. That tension is the quarter in one line: the public franchise is throwing off more cash while the growth option stays stalled.
The next several quarters resolve three named variables. Calendar incentive fees have to land near the $40 million pace management described, concentrated at the two strongest REITs. Private capital has to convert Greenwich-style seeding into fee-paying vehicles rather than more balance-sheet inventory. Managed REIT enterprise values have to stop leaking, because fees are calculated on the lower of historical cost and market capitalization. Shares near $19 already embed a high cash yield and a discounted manager multiple. The open question is whether that discount is earned compensation for a controlled, client-concentrated franchise whose growth option remains unproven.
