Reitar Logtech (RITR): Listing Halt Meets a Collapsed Logistics Year

Reitar Logtech is a Cayman holding company for a Hong Kong property-and-logistics shop whose public-market story has now been overtaken by a Staff Delisting Determination. Nasdaq told the issuer in mid-September that the closing bid had sat at or under a dime for ten straight sessions, and the tape was set to halt at the open on September 17. Management asked for a hearing, which does not stay the suspension. The operating print underneath that listing event is a fiscal year in which revenue fell by about two-fifths and the income statement swung from a thin profit into a large loss after a customer bankruptcy and a goodwill write-down.

The same year that produced that loss also produced a stack of capital-markets announcements that never funded the hole. A December pair of senior notes with a bit more than two million of face value converted into Class A shares over the summer and was retired without cash. A March subscription agreement promised as much as sixty million of equity at a four-dollar subscription price and still sits behind conditions. The board later authorized a three million repurchase against year-end cash that was barely above one million. The listing vehicle is being asked to carry a growth narrative that the cash account cannot support.

Fiscal 2026 revenue printed about $28 million. Gross margin compressed into the mid-single digits after a large expected-credit-loss charge tied to the Hi-Speed Group failure and a sizable goodwill impairment on the automation book. The last Nasdaq session before the halt closed near eight cents, implying a mid-single-digit-million capitalization on the still-uncollapsed share count. The investment debate is no longer whether the Cainiao warehouse pipeline is interesting. It is whether any residual claim on the Hong Kong operating group survives a halted tape, an unfunded equity story, and a year that consumed nearly $10 million of operating cash.
