RCI Hospitality Holdings is a Houston nightclub consolidator trying to prove the cash engine still works after a year of legal and leadership shock. The New York attorney general indicted the company, three subsidiaries, and five employees last September on tax-fraud and bribery charges tied to alleged unpaid sales tax on in-house dance currency. Longtime chief executive Eric Langan and chief financial officer Bradley Chhay then left those titles, while remaining on payroll and, in Langan's case, on the board and as personal guarantor of the bank book. The fiscal third quarter is the first clean operating print of the interim regime. Clubs still throw off cash, the Bombshells sports-bar chain finally grew on a same-store basis, and debt came down. The equity still trades as if the residual claim is for sale at a discount to book because the legal and listing cloud has not lifted.
Nightclub same-store sales were slightly negative, so the top line did not re-accelerate on its own. Service receipts inside the clubs rose 8 percent. Alcohol and food inside that segment slipped, which is the mix that actually pays the rent in this format. Bombshells flipped from an earlier double-digit same-store decline to a mid-single-digit gain after management pushed the concept back toward a late-night bar rather than a restaurant. Adjusted cash earnings rose faster than sales. The company used that cash to retire debt and buy a modest amount of stock. Nine-month reported profit is still thin because the second quarter carried a large nightclub impairment and a premium on a block repurchase.
The market capitalization sits near $214 million. Debt is still about $240 million. Book value remains above the share price, which is the tape saying legal and governance risk, not club-level cash conversion, is what sets the multiple. The next several quarters resolve whether Bombshells same-store sales stay positive, whether nightclub traffic stops leaking, and whether the New York case plus the related securities and derivative suits stay contained. If those three hold, the cash story is already visible. If any one breaks, the discount to book is earned.
