Peraso (PRSO): Defense Pivot Meets Dilution and Listing Strain

Peraso is a fabless designer of sixty-gigahertz wireless chips that has already exited the memory products that once carried most of its sales, and the second-quarter bounce does not repair that hole. Management frames the sequential lift as the fulfillment of a delayed shipment to a new fixed wireless access customer rather than a broad return of demand. The mid-year quarterly report still carries substantial doubt about the company's ability to continue as a going concern, and the independent auditor repeated that language on the prior-year annual statements. The equity is therefore a residual claim on a subscale radio franchise that is funding itself with stock sales while it tries to convert defense and drone interest into volume.

Cash rose to $3.3 million at mid-year only because at-the-market sales covered the operating hole. Net ATM proceeds in the first half were $4.7 million against operating cash use that nearly matched that raise. A committed equity line with Roth Principal Investments adds stated capacity of $25 million. That line is share-capped unless stockholders lift the exchange limit or the purchase price clears a threshold near one dollar. Nasdaq separately notified the company in late July that the bid had sat below one dollar for thirty consecutive business days. The compliance window runs into mid-January of next year. Dilution and listing status now sit on the same clock as the product reboot.

Second-quarter net sales of $1.3 million were up from the prior quarter and still well below the year-ago print. Gross margin expanded on mix and on sales of previously written-down inventory, which is not the same thing as a durable cost advantage. The open question is whether identification-friend-or-foe shipments and the new PRM2145 drone module can replace a collapsed memory-and-access base before the equity facilities and the bid-price clock redefine the residual claim.
