Andretti Acquisition Corp. II (POLE): A Reset Search After a Broken Deal

Andretti Acquisition Corp. II is no longer the full-size search vehicle that listed two years ago. The StoreDot combination died in February, and the September extension vote that kept the charter alive also let most public holders cash out of the trust. What remains is a thinner Cayman shell with a famous last name, a shortened public float, and one extra year on the clock. The equity debate is no longer about whether an extreme-fast-charging battery story gets listed. It is about whether this sponsor can source a second target that is small enough for the leftover trust and clean enough that holders do not redeem again.

The extension itself is the load-bearing event. Shareholders approved a one-year charter change that moves the combination deadline to September 2027. In the same meeting, holders of almost 16 million public shares redeemed for about $172 million. That leaves just over 7 million public shares and a trust that is now a mid-sized check rather than a $230 million pool. The sponsor then converted nearly all founder shares into Class A, so the public register is now a mix of leftover redeemable stock and promote stock that has no claim on the trust. Warrants still trade as a cheap call on a deal, and that price is the market's honest read on completion odds.

The mid-year print does not change that read. Trust interest produced about $2 million of reported net income in the June quarter, and outside cash stayed thin enough that the auditor language still flags substantial doubt. The company has already drawn more than $1 million of related-party working-capital notes and still has unused capacity on that facility. The open question is simple. Does a new named target appear with a signed agreement before the new deadline, or does this vehicle spend the extra year as a shrinking stub that eventually liquidates at remaining trust value?
