Ondas Inc. (ONDS): Autonomy Roll-Up Tests Delivery Against Dilution

Ondas Inc. has spent the past year buying its way from a small industrial-wireless and drone vendor into a multi-domain autonomous-defense platform. The second-quarter print is the first clean look at whether that roll-up produces real demand or just a larger cost base. Record revenue and a swollen pro forma backlog argue the demand is genuine. The same quarter also posted a much wider cash operating loss, a warrant liability larger than the remaining cash pile after pending deal closings, and a share count that has more than quadrupled since the prior spring. The investment debate is whether backlog conversion arrives before dilution and integration complexity reset the residual claim.

Same-portfolio revenue still rose 85 percent, which is the figure that matters because it says the print is not only purchased growth. Bookings of $175 million in the quarter pushed reported backlog higher. Another $105 million has already been captured after mid-year. Reported backlog reached $613 million. Including DZYNE Technologies and Cyberhawk, both closed after quarter-end, pro forma backlog sits at $757 million. Cash operating expense jumped and the adjusted operating loss widened as the company spent ahead of a second-half delivery ramp. Management now sizes full-year revenue at $525 million at the low end of the new range.

The mid-year cash pile was more than $1 billion, enough to close the two largest pending deals in cash and still leave a fortress balance sheet. What the market is pricing at roughly $4 billion of equity value is a defense-tech compounder that converts that backlog without another heavy equity raise. The counterargument is simple: losses widened, the share count exploded, and a warrant liability near $1 billion can whip reported earnings independently of operations. The next two quarters decide whether this is a scaled platform or a holding company of expensive assets.
