1RT Acquisition Corp. is a funded Cayman blank-check still hunting a digital-asset target, and the equity is a claim on a Treasury trust rather than on an operating business. The sponsor's prior public vehicles never delivered a closed combination, which is the load-bearing fact underneath a quiet tape. Public holders sit behind a redemption put. The promote only pays if a deal actually closes. The market is treating that call as nearly worthless.

The latest quarterly print shows the real tension. Outside cash has dwindled to $36,203, thin enough that management flagged substantial doubt about continuing as a going concern. That flag is a working-capital statement, not a comment on trust solvency. Almost all of the assets sit locked in marketable securities that public shares can redeem against. Reported net income is interest on that locked pile, and it is not available to fund the search.

No business combination has been announced as of the August filing. The combination window runs into July 2027, with a shareholder-vote extension as the only extra time. The question for the next several quarters is whether Daniel Tapiero sources a digital-asset target large enough to clear the eighty percent test, or whether this vehicle joins his earlier blank-checks in an orderly return of trust cash.
