ON Semiconductor (ON): AI Power Cycle Meets a Systems Bet

ON Semiconductor is no longer being priced as a stalled automotive-and-industrial analog house. The July quarter showed that the Power Solutions engine, fed by AI data-center content across the power tree, is doing the work that the analog and sensing books are not. Management now frames AI data-center revenue as more than doubling this year, and the print already shows the Other end-market, which includes computing, running well ahead of auto and industrial. The investment debate is whether that mix shift is durable enough to carry earnings and cash through a year of Synaptics deal overhang, or whether the equity is still a cyclical power name whose analog third of the company has not turned.

The cash conversion is the cleanest evidence that the operating model is working. Free cash flow in the July quarter reached $425 million. That print was roughly four times the year-ago result, on capital spending of only $34 million. Non-GAAP earnings of 74 cents grew far faster than the top line. The company bought back $332 million of stock. That combination is what a recovering fab-owning power franchise is supposed to look like after a long inventory washout. The counterargument is equally concrete. Analog and Mixed-Signal still shrank versus last year, automotive remains about half of sales and grew only in the mid single digits, and factory utilization, while higher, is not yet at a fully loaded run rate.

The June agreement to buy Synaptics in an all-stock combination valued near $7 billion is the item that keeps the multiple honest. Synaptics holders are slated to own about twelve percent of the combined company if the deal closes next year. ON faces a $320 million regulatory break fee if antitrust or foreign-investment clearance fails. Third-quarter guidance calls for revenue of $1,650 million to $1,750 million. Non-GAAP margin is guided into the low forties. The next several prints have to show that AI power is not just stealing wafers from auto, that analog is stabilizing, and that the Synaptics story is not a distraction from a franchise that is finally converting mix into cash.
