Olin (OLN): Chlorine Scale Meets a Combination Reset

Olin is no longer being priced as a simple trough chlor-alkali operator. The mid-June all-stock combination with Huntsman recasts the equity as a control story in which Olin holders keep a majority of a larger North American chemicals platform and Ken Lane stays in the chief executive seat. The market still treats the name as a leveraged commodity residual, which is the gap the next several quarters have to close or confirm. Reliability at Freeport and the cash cost of legacy vinyl litigation sit between that story and any cleaner read on the cycle.

The second-quarter print showed why the gap exists. Epoxy swung back to a profit after a long stretch of losses, and Winchester lifted both commercial ammunition and military project work. Those gains were partly spent on an unplanned vinyl chloride monomer outage that cut about $40 million from adjusted earnings before interest, taxes, depreciation, and amortization. Net leverage sat at five times that same measure, after a first-half cash drain from Shintech settlements and a seasonal working-capital build. Cost actions under the Beyond250 program are the only internal lever that does not depend on a friendlier electrochemical-unit, or ECU, price tape.

Adjusted earnings before those items still rose versus the year-ago quarter even after the outage, which is the cleanest evidence that mix and cost work are doing something. Management framed the next quarter in a wide band between $160 million and $200 million because export caustic and ethylene dichloride prices gave back some of the midyear spike. The investment question is whether the combination closes and the ECU cycle turns before another reliability miss or another legal check exhausts the balance sheet's patience.
