ENDRA Life Sciences is no longer an investable liver-imaging story in any economic sense. The listed vehicle is a signed reverse-merger stub. Late in June the company executed a definitive merger agreement with ASP Isotopes, Noble Africa, and Renergen, the South African helium and liquefied-natural-gas operator behind the Virginia Gas Project. After close the surviving public company is slated to be renamed Noble Africa Inc. and to seek a Nasdaq listing under a new symbol. Pre-close ENDRA holders are slated to own roughly three percent of that combined company. ASP Isotopes is slated to own roughly eighty-nine percent, with the remaining slice reserved for investors in a concurrent private placement into Noble Africa. That ownership split is the entire security now. Thermo Acoustic Enhanced UltraSound, the TAEUS liver-fat platform that justified more than a decade of public-market existence, sits on the sideline as stranded intellectual property after cost cuts delayed a fresh De Novo filing with the Food and Drug Administration. The investment debate is whether the special meeting, the registration statement, and a short list of consents actually close, and whether a three-percent residual claim in a dual-class helium vehicle is worth more than the cash and digital-asset pile that remains if the deal dies.
A late-May private placement produced $3.8 million of gross proceeds. Those proceeds sit as restricted cash under a side letter with LHE LNG Holdings and function as the cash test for close rather than as working capital. Second-quarter net income of $160000 arrived only because digital-asset marks flipped positive. The operating company still consumed cash, and research plus selling spend were cut hard as the board finished a strategic-alternatives review that had opened in late March. Management has disclosed substantial doubt about the ability to continue as a going concern. The quarterly profit is therefore not evidence that TAEUS suddenly found a market. It is evidence that a Hyperliquid token book and a restricted financing can paper over a still-unfunded device company for one reporting period.
Unrestricted cash at mid-year was thin relative to even a maintenance-mode burn. The accumulated deficit now exceeds one hundred eleven million, and the May units came with a large common-warrant overlay. The next several months resolve a single question. Does the S-4 registration, the stockholder vote, OPIC consent, and the cash test clear before the late-December outside date, or does the stub revert to a going-concern device company with restricted cash that may have to be returned?
