MOZAYYX Acquisition Corp. is a Cayman Islands blank-check vehicle that closed an upsized offering in late February and still has not named a target. The Class A line trades a thin discount to the cash parked in trust, which is the entire economic story until a deal appears. Management states in the mid-year quarterly report that nobody on its behalf has opened substantive talks with any combination candidate. The market is therefore pricing a search, not a transaction.

The trust account stood at $303.6 million at mid-year. That balance implies a redemption value of $10.12 on each public Class A share. Formation and operating costs in the second quarter ran only $114,390, a light burn against trust interest that more than covers the shell. Cash outside the trust was $1.2 million, and management does not raise substantial doubt about continuing as a going concern. Reported net income is almost entirely non-cash accretion inside the trust and cannot be spent on the search. The residual claim that public holders actually own is the redemption put, not the income statement.

The charter grants a twenty-four month completion window from the offering close, which expires in late February of two thousand twenty-eight unless shareholders later vote to stretch it. An independent director with digital-asset and institutional-investing credentials joined the board in late May, and several merger-arbitrage names have filed passive stakes above five percent. The forward question is whether Benjamin Zucker's first listed vehicle converts that board and that book into a signed agreement before the clock, not whether the trust continues to earn a money-market coupon.
