M Evo Global Acquisition Corp II is a Cayman blank-check vehicle that just changed captains in the middle of a still-silent hunt for a strategic-minerals combination. Founding chief executive Stephen Silver resigned from the chief-executive, chair, and director seats in early September, and the board elevated operating chief Ashley Zumwalt-Forbes into both the chief-executive and chair roles the same day. The company said the exit was not the result of any disagreement on operations, policies, or practices, and it disclosed no new pay package for the successor. Public Class A still sits a shade under the cash that Continental holds in trust, which is how a search-stage special purpose acquisition company trades when the market assigns almost no option value to a deal.

The tension is not whether the trust is intact. Midyear investments held for public holders stood at $304 million. The implied redemption value was $10.14. That print followed a fully upsized February offering that deposited the entire unit proceeds into short-dated United States government paper. What changed is who now sources the target. Zumwalt-Forbes is a managing member of Evolution Sponsor Holdings LLC II, the sponsor, and she keeps the operating-chief title, so deal authority, board leadership, and sponsor economics now sit in one person. A sister vehicle, Evolution Global Acquisition Corp, still hunts the same minerals mandate under the same franchise, which is the conflict the offering documents already flagged.

No combination agreement has been announced. The charter clock runs twenty-four months from the February closing, and any extension past that date requires a shareholder vote that reopens redemptions. The question the next several quarters resolve is whether the new chair can put a minerals operator on the table that survives that vote, or whether Class A remains a short Treasury with a cheap warrant attached.
