Lantheus has stopped being a growth-compounding radiodiagnostic story and has become a cash-and-contingent claim on a franchise that is already losing pricing power in its largest product. The equity now prices the Curium take-private more than it prices standalone earnings power. That shift is the entire investment debate. Shareholders are no longer underwriting a positron emission tomography compounder. They are underwriting whether a CapVest-backed buyer completes an agreed cash merger while the core prostate scan franchise keeps giving back price.
The board signed a definitive merger in early August under which a Curium acquisition vehicle agrees to acquire every outstanding share for a fixed cash amount at close and to attach non-transferable contingent value rights. The cash leg is $102.50 a share. The contingent rights add as much as $12.00 if specified commercial milestones on prostate diagnostics, neurology diagnostics, and the DEFINITY microbubble franchise are hit through the end of the decade. Curium wants the United States PET commercial engine, the fluorine-labeled prostate franchise, and an entry into amyloid imaging and echocardiography contrast. The Lantheus board concluded, after canvassing other parties and weighing a standalone path, that a sale was the value-maximizing outcome. The public float now trades as a spread to a dated cash close rather than as a multiple of declining PYLARIFY cash flow.
The tension is that the asset being sold is already softening in the product that still supplies most of the cash. PYLARIFY sales were $240.4 million in the latest quarter. That is a decline of 4.1 percent against the year-ago period. Worldwide revenue still rose because Neuraceq, the florbetaben amyloid tracer brought in with Life Molecular Imaging, and DEFINITY, the long-running ultrasound contrast agent, more than filled the hole left by the SPECT exit and by prostate-scan price pressure. Adjusted operating income, the non-GAAP measure that strips stock pay, amortization, and deal noise, contracted even as GAAP operating income rose on a large contingent-consideration credit. If the merger fails on a shareholder vote or a regulatory block, the market is left holding a high-margin but decelerating franchise that just suspended guidance and is shopping its therapeutic assets.
The next observable events are the shareholder vote on the merger proxy and the first formal antitrust clock, not another product print. A clean vote and an uneventful review path keep the cash claim intact. A delayed review or a required remedy reopens the standalone multiple, and that multiple now has to live with a PYLARIFY print that is no longer growing.
