Kadant (KAI): Aftermarket Cash Funds an Acquisition Cycle

Kadant is using a high-mix aftermarket franchise to buy adjacent process technologies at a moment when customers still delay large capital releases. The equity now prices a slower capital cycle than the record second-quarter print implies, and the debate is whether organic bookings turn before acquisition-related margin noise fades. Record quarterly revenue arrived with a 13 percent contribution from deals closed over the prior year. Organic growth was real, yet organic bookings slipped, which is the tell that shipments are still running ahead of new capital commitment.

The load-bearing event is the April close of voestalpine Boehler Profil, renamed Kadant Profil, financed in cash drawn on the revolving credit facility. The Austrian roller had supplied Kadant for more than 30 years, so the deal is a vertical integration of a specialty input rather than a brand-new end market. Combined with Clyde Industries, bought the prior October for $175 million, and the smaller Babbini dewatering pair in Italy, Industrial Processing is now the growth and integration vehicle. Those closings explain why reported growth outran organic demand and why interest expense and intangible amortization both stepped up.

Gross margin compressed even as adjusted earnings rose, because capital mix increased and acquired inventory still carries purchase-accounting profit that cannot be recognized until third-party sale. Aftermarket share of revenue slipped from the prior-year mix near 71 percent, which is the opposite of the mix that historically supports the premium multiple. Organic bookings declined even as total bookings rose on acquired contribution, so the order book is not yet confirming a capital recovery. That is the tension the market is discounting: a strong print built on deals and aftermarket, sitting on a still-soft organic order rate.

The next test is whether organic bookings turn positive as the large packaging and oriented-strand-board quotes that management described as advancing actually convert. Third-quarter guidance already implies a sequential revenue step-down from the record print, so a bookings rebound would matter more than another shipment beat. Equipment backlog of $182 million is the visible store of later-period capital revenue if those conversions arrive.
