Jiuzi Holdings (JZXN): Token Treasury Masks a Hollow Reseller

Jiuzi Holdings is no longer being priced as a China new-energy reseller; the equity is being asked to underwrite a digital-asset treasury built by printing ordinary shares for tokens while the trade business still converts almost no revenue into cash gross profit. The Cayman holding company sells batteries, power equipment, and phone accessories through Shenzhen subsidiaries, yet the balance sheet that now dominates the story is a pile of crypto consideration, a thin cash account, and a book value that exists only if those tokens are worth what the company booked. The investment debate is whether that treasury is a store of value or a circular issuance that leaves common holders with a listed wrapper around an illiquid coin and a near-zero-margin pass-through.

The load-bearing event is the February securities purchase agreement under which investors subscribed for forty million ordinary shares at one dollar fifty cents a share, with payment in AWA tokens rather than cash. The company recognized a sixty million digital-asset receivable when the shares were treated as legally issued, then recorded receipt of more than six hundred thousand tokens in early July as settlement of that receivable. The mechanism is simple and harsh for residual owners: the share count expands by tens of millions, stated equity swells by the token's booked value, and usable liquidity does not rise unless those tokens can be sold, pledged, or converted on terms that survive custody and transfer limits. A reader who treats the booked receivable as cash is reading a capital-markets story as if it were a treasury-bill story.

The tension is that cash did the opposite of what a completed sixty million financing implies. Cash and equivalents fell from about five million at fiscal year-end to a few hundred thousand by the April interim date, while operations consumed several million in cash and investing consumed another large check for an AI-equipment prepayment. Interim notes state that the accumulated deficit and the period loss raise substantial doubt about the group's ability to continue as a going concern. The reseller did grow sales, but cost of sales moved almost one-for-one with revenue, so the extra volume bought almost no economic cushion. A listed company can look asset-rich on paper and still be one missed collection cycle away from another equity print.

What resolves the argument is not another memorandum on intelligent imaging. It is whether the AWA position, and the separate Bitcoin block received against an earlier share issuance, turn into unrestricted cash without a matching new issuance that resets the share count again. The August notice that ordinary shares outstanding had climbed above fifty-one million is already the first post-interim fact that the February print is inside the public float math. Until a later filing shows cash, not tokens, funding the going-concern gap, the equity is a claim on narrative assets rather than on a self-funding franchise.
