J & Friends (JF): Nasdaq Shell Swaps China Fintech for Australian POS

J and Friends is a Cayman listing vehicle that spent late 2025 discarding a China fintech and consolidating a minority stake in an Australian point-of-sale software shop, and the equity now asks public holders to treat that swap as a completed software rebirth. The American depositary shares last changed hands at $1.01. Capitalization on that print is $18.5 million. The debate is whether the residual claim is a growing merchant platform or a thin wrapper around someone else's Australian cash-register business.

The load-bearing transaction is the September share exchange into ZIITECH Pty Ltd. The Cayman parent issued 83.7 million Class A ordinary shares for 25% of ZIITECH's ordinary stock and then consolidated the target under a shareholders' agreement even though the economic slice is a minority. That mechanism puts all of ZIITECH's revenue on the parent's income statement while leaving most of the equity value with the Australian holders. Shareholders of the listed vehicle therefore own a controlled accounting perimeter, not a bought-out operating company.

Two months later the same board sold Romantic Park Holdings Limited, the Cayman box that held the mainland China operating stack, to Vantage Capital in a related-party transfer. Aged claims and debts went with the box. Current assets then collapsed from $12.9 million to $1.8 million. Year-end cash was $945 thousand. The April annual report states that those conditions raise substantial doubt about the ability to continue as a going concern. The cleanup removed a toxic China perimeter, but it also removed the cash that used to sit around it.

The first Australia-only interim is still absent from the United States record. Until that print arrives, the market is capitalizing four months of consolidated ZIITECH activity at more than 11 times sales. A baby-shelf registration filed in April can raise only a third of the public float, a few million at today's size. That is the funding path, and it is also the dilution path.
