The case for CGI Inc (GIB) rests on a machine that turns a global bench of 94,000 consultants into cash faster than any peer. The market now pays a multiple that only works if the share count keeps shrinking.

The May 12, 2026 leadership transition is the event that reframes everything. Tim Hurlebaus, the COO who ran the United States, U.K. and Australia operations that generate nearly half of revenue, replaced retiring CEO François Boulanger. The mechanism is simple: the AI-first strategy gets a CEO who has personally delivered the largest margin pools, and the board signals that the next phase of growth comes from converting client AI demand into profitable managed work rather than chasing headline revenue.

The tension is that the buyback engine that powered the multiple has visibly sputtered. Q3-FY2026 repurchases of 412.9 million CAD under the Normal Course Issuer Bid are a sharp step-down from the Q1 pace. The senior unsecured notes issued in March 2025 now sit on the balance sheet at 26.6 percent net debt to capitalization. That is up from 13.7 percent a year earlier.

The Q4-FY2026 print, due late October, and the FY2027 guidance reset are the timing triggers. Germany utilization, U.S. federal efficiency savings, and the 852.4 million CAD U.S. Senior Notes maturing in September 2026 each carry a number that can move the equity.
