Flotek Industries (FTK): A Controlled Turnaround Betting Its Equity on One Frac Parent

Flotek Industries is a controlled oilfield chemistry and data analytics company whose equity is essentially an option on ProFrac Holding Corp, the parent that drives the large majority of reported revenue. The parent beneficially owns about 61 percent of the stock, which makes the entire story a question of whether the captive relationship can be converted into an independent business.

The most consequential recent event is the PWRtek cluster of 2025 and 2026. In it, Flotek bought twenty-two operating mobile power units from a ProFrac affiliate for roughly 107.5 million in consideration. The equipment was then leased back to the parent for six years, which is the single most important mechanism in the entire story. Flotek now books recurring lease revenue from its own parent, and it also holds a 40 million secured note to a ProFrac affiliate due in 2030. The quality of the earnings line is inseparable from ProFrac's balance sheet.

The central tension is that the company is profitable only because of these related party streams, and the external customer base that would justify a standalone multiple is still small and cyclical. The 2025 chemistry shortfall fee alone contributed 27.4 million to reported revenue, which is a number set in negotiation with the controlling shareholder rather than in a competitive market. The 2026 fee has already begun to accrue, and a large share of the income statement is therefore a product of the relationship rather than of the underlying chemistry business.

The near-term catalyst is the award of a ten year PREPA power contract in Puerto Rico, which management sizes at about 40 million of annual revenue at full deployment. The significance is that this is the first evidence of third party utility demand for the power platform that is not funded by the parent. It is the single variable that decides whether the equity is a controlled captive or a genuine turnaround.
