Deep Fission builds a small pressurized water reactor that lives one mile underground, and its equity now prices a future that the company's own going concern note does not yet support. The stock trades at a large discount to its recent offering prices. The gap between the share price and the capital raised is the whole argument of this report.

The company has real momentum, and the milestones are recent. A department of energy safety design approval in August, a prototype canister delivered to Kansas in July, an 18.5 GW letter of intent pipeline, and a strong cash balance after a large first half capital raise. The offset is structural, and it shows up in the filings.

The offset is zero revenue, an accumulated deficit of 119.1 million, a restatement of every prior financial statement, and an auditor going concern doubt that remains despite the new cash. This report argues the stock is a project completion bet, not an operating business, and the filings support that reading.

Valuation below the IPO range is defensible only while the proof of concept well, DOE authorization, and NRC filing all clear on schedule. Each of those gates sits on the company's own timeline, which makes the equity a binary instrument with a funding overhang layered on top.
