FG Merger II Corp. (FGMC): A Defunct Ticker Merged Into the Successor

FG Merger II Corp. no longer exists as a standalone public security. The Nasdaq ticker FGMC, once the trading symbol for this Nevada blank check company, was delisted on July 20, 2026 after the shell completed a business combination and was renamed BOXABL Inc., which now trades under the symbol BXBL. For a holder who still sees FGMC in a portfolio or a watchlist, the practical meaning is that the position has converted, not vanished, into equity of the successor company. The shell itself served its purpose and was retired from the listing.

This is therefore a note report rather than a full company review. The subject of the assignment is a symbol that has stopped trading, so the correct output documents what FGMC was, why it disappeared, where the value migrated, and what the filings show at the moment of closure. The underlying story is a textbook de-SPAC: a shell that raised funds, parked them in a trust, found a target, executed a merger, and handed its listing to the operating business. The shell's own financials are thin by design, a vehicle with a trust account and little else.

The one number that frames the whole episode is the last trade. FGMC closed at 8.30, a print it set on the final day it traded under its own name. That day was July 17, 2026, and a few days later the successor opened at a different symbol. That final print is not a fair value of anything going forward, but it is the anchor for understanding how the market treated the shell in the run up to the close. From that single data point, the rest of this note walks backward through the filings and forward through the successor.
