Fabric.AI is a Nasdaq-listed development-stage semiconductor company that has bet its future on MicroLED-based optical interconnects for artificial intelligence data centers. The company has no revenue from its new semiconductor business, a history of operating losses stretching back through its predecessor incarnation, and a share price that has fallen from a 52-week high of $10.56 to roughly $2.72. Against that bleak backdrop, however, the second quarter of 2026 brought a genuine strategic reset: a name change from StableX Technologies, a $21.5 million Series K convertible preferred financing, the April 27 Joint Development and License Agreement with Kopin Corporation, and the launch of the Neural I/o chip program. The question for investors is not whether the current business is worth $19 million on a conventional discounted-cash-flow basis, because by almost any standard it is not. The question is whether the option value embedded in a successful optical interconnect for GPU-to-GPU communication is large enough to justify a speculative position at the current enterprise value of around $15.5 million.
The bull case rests on three observable facts. First, data center interconnect is a real bottleneck and a real market. Management cites a 360iResearch estimate that puts the broader interconnect market at approximately $138 billion, with the optical subset alone expected to reach tens of billions of $ annually within a few years. Second, the Kopin partnership supplies a differentiated technical foundation: Kopin's proprietary MicroLED technology and patented bi-directional NeuralDisplay architecture, combined with a non-exclusive, royalty-free license to Fabric.AI for commercial markets. Kopin also owns a 19.9% equity stake through Series J convertible preferred stock, which at least partially aligns its incentives with Fabric.AI's success. Third, the company has raised enough capital, at least on paper, to fund the next twelve months of operations. Management has concluded that the substantial doubt about the company's ability to continue as a going concern has been alleviated, though it also notes that additional financing may be needed in the future and that there is no assurance such financing will be available on acceptable terms.
The bear case is simpler and, on the current evidence, more probable. Fabric.AI has no product, no prototype, no revenue, no full-time employees as of the filing date, and no certainty that its technology will achieve the bandwidth, latency, power efficiency, and cost targets needed to displace copper or laser-based alternatives. The company is also heavily dependent on Kopin for both technology and manufacturing, and any disruption to that relationship would be existential. With zero quarterly revenue, an operating loss of roughly $3.3 million for the three months ended June 30, 2026, and a tangled capital structure of preferred stock, warrants, and anti-dilution provisions, the equity behaves more like a venture warrant than a conventional stock.
Valuation is therefore a matter of scenario analysis rather than multiples. On trailing earnings the company is loss-making. The price-to-book ratio of about 3.3x is supported by cash and marketable securities rather than by operating earnings power. The stock is down roughly 52% over the past year and trades slightly above the Series J and Series K conversion prices of $2.51. That limits near-term conversion-related dilution but also signals how little confidence the market has in the standalone value of the enterprise. Short interest stands at roughly 25.8% of the float, a level that suggests professional traders see limited near-term upside and substantial downside. For investors with a high risk tolerance and a multi-year horizon, the current price may offer an inexpensive call option on optical interconnect adoption. For anyone requiring current revenue, operating cash flow, or earnings, this remains a pre-revenue speculation.
