eBay Inc (EBAY): Rejecting the Bid, Reigniting the Marketplace

The quarter that just printed on August 5 carried two narratives in tension with one another, and the market is only beginning to separate them. On May 3, 2026, eBay received an unsolicited, non-binding acquisition proposal from GameStop, accompanied by a highly confident letter from TD Securities (USA) LLC dated May 1. The eBay Board met and on May 12 concluded that the proposal was "neither credible nor attractive," a position disclosed in an 8-K the same day alongside the TD Letter itself. Underneath that governance noise, the operating machine delivered its strongest quarter in years: net revenue rose 15% to $3,134M, gross merchandise volume grew 15% to $22,398M, and operating margin expanded 400 basis points to 21.6% as net income climbed 51% to $550M. The combination defines the present debate, because the bid is now public, the rejection is public, and the operating print is strong enough to make the rejection look defensible on the merits.

Three variables anchor the thesis. First, GMV acceleration in the Focus Categories (Collectibles, Motors Parts & Accessories, Fashion, and Refurbished) plus C2C outpacing B2C across the United States, the United Kingdom, and Germany. Second, advertising take-rate, which lifted 24% to $596M in the quarter on first-party penetration and attribution changes that improved monetization of on-site ad inventory. Third, capital return discipline, with $310M of Q2 repurchases executed at an average June price of $108.60, the $750M 1.400% senior notes repaid at maturity in May, and $2.0B remaining under the existing buyback authorization. The strategic marker is the Depop acquisition, which closed on July 30 for $1.4B in cash and folds a leading C2C fashion marketplace directly into the Focus Categories flywheel.

What confirms the thesis is a sustained double-digit GMV print in the second half, take-rate moving off the 13.99% plateau through first-party advertising penetration, and transaction losses normalizing from the elevated Q2 level of $133M (up 54% year over year). What breaks it is a re-escalation of the GameStop proposal or a fresh activist campaign forcing a strategic review that distracts management, a Focus Categories deceleration into the holiday quarter, or a dollar-strengthening move that re-compresses the 44% international revenue line. The Q2 2026 print cleared the first two bars by visible margins; the third is the watch item through the back half.

The further binary is Depop. A clean integration that adds incremental C2C fashion GMV without re-pricing the broader marketplace would reinforce the Focus Categories narrative and unlock a higher through-cycle take-rate. A mis-execution, with churn in Depop's seller base or a distracted integration, would compress the multiple the operating print just earned. The Board has chosen to defend independence rather than negotiate; the operating story now has to do the heavy lifting that the bid was not willing to pay for.
