DoubleDown Interactive (DDI): A Cash Machine Waiting for a Take-Private Decision

DoubleDown Interactive is a Nasdaq-listed social casino and iGaming company whose share price sits near the top of its range after a controlling shareholder tabled an unsolicited buyout offer in April 2026, a price roughly 12 percent below the September market level. The company combines a mature North American social casino franchise with a German acquisition and a four-brand Western European iGaming operation, and it converted strong first-half operating cash flow into a very large net cash position.

The investment question is not whether the games grow. Social casino revenue is compounding at double digits on a pro forma basis, and the adjusted EBITDA margin expanded to 41.6 percent in the June quarter. The question is what the balance sheet and the governance structure are worth to public holders when the parent, DoubleU Games, can simply decide to walk away or to pay up. At a trailing earnings multiple of about five times, and a net cash balance that equals roughly 83 percent of market value, the multiple compresses to under four times on a cash-adjusted basis, a level that has historically attracted acquisition interest in the gaming sector.

The principal risks are regulatory and related-party. A Washington state enforcement posture, a disputed license termination from International Game Technology, and the fact that roughly two-thirds of the shares are held by the same entity offering to buy the rest all sit on top of a business model that regulators across the United States are still debating.
