AGM Group Holdings, the BVI-domiciled parent that once sold the KOI MINER C16 ASIC bitcoin miner, ended fiscal 2025 as a near-empty public shell after divesting both its PRC operating subsidiaries and its Hong Kong intermediary, yet the equity still carries roughly twenty-five million dollars of accounts receivable on a market capitalization of just two million dollars. The single load-bearing event of the most recent reporting window is the May 26, 2026 Form 6-K disclosure that Nasdaq flagged the company for not having filed its annual report for the year ended December 31, 2025 within the standard sixty-day window, a notice that on its own does not delist the shares but forces the company to file a compliance plan and threatens a possible delisting by November 11, 2026 if compliance is not regained.

The mechanism behind the trade is the gap between enterprise value and balance-sheet recovery value. The single load-bearing risk is a Nasdaq delisting triggered by failure to file the fiscal 2025 annual report within the 180-day exception window expiring November 11, 2026, which would compress an already thin trading float of roughly 7,958 shares per session and likely accelerate conversion of the outstanding $1.5 million first-tranche convertible note that closed September 22, 2025.
