Agencia Comercial Spirits Ltd (NasdaqCM: AGCC) closed a US$200.0 million registered direct offering on July 29, 2026, selling 20.0 million Class A ordinary shares at US$10.00 per share to a small group of strategic investors, even though the Class A shares had traded as high as US$25.73 and as low as US$3.66 over the prior twelve months. The raise is the load-bearing event: it converts a Taiwan-based premium whisky wholesaler with US$6.2 million of FY2025 revenue into a US$200-million-cash, Cayman-domiciled holding company whose near-term identity is the operator of a planned NVIDIA B300 GPU cluster in Indonesia, with a US$374.4 million five-year cloud services contract in hand as a baseline tenant.
The thesis is that the equity re-rates from a spirits micro-cap into a small-cap AI infrastructure "toll-taker," and the mechanism is the convergence of three capital-intensive commitments: a non-binding US$120 million lease for 300 NVIDIA B300 (Blackwell Ultra) servers, a binding US$13.4 million land purchase for a 50,000-square-meter Indonesian data center site already wired for 55,400 kVA dual-feed power, and a US$374.4 million five-year GPU cloud services contract with an undisclosed digital financial services customer signed in May 2026. If even a fraction of the contracted cloud revenue converts, the FY2025 spirits base of US$6.2 million is irrelevant, and the story is GPU compute capacity at a 22.8-million-share float with US$200 million of fresh capital.
The single load-bearing risk is execution. The B300 lease is non-binding, the land title has not yet transferred, no revenue has been recognized from the cloud services customer, and the audit report is unqualified but the auditor (Enrome LLP, Singapore) was engaged only in 2024. The falsifiable clock is the August 25, 2026 next-quarter earnings date flagged by the IR data feed, where the market will look for any first revenue from the Singapore cloud agreement and any update on whether the B300 lease has converted from letter of intent to definitive agreement.
