Advanced Energy Industries delivered a record quarter in the three months ended June 30, 2026, with revenue of $574.1 million up 30% year over year and 12% sequentially, a record non-GAAP gross margin of 41.9%, and non-GAAP diluted earnings per share of $2.74, all of which came in above the high end of management's prior guidance range. The headline GAAP print of $1.29 per share was depressed by a one-time $31.8 million pre-tax charge ($0.75 per share) tied to the partial induced conversion of the legacy 2028 convertible senior notes, which is a balance-sheet housekeeping event, not a reflection of operating performance. The same quarter saw management close a $1.13 billion 2031 convertible refinancing alongside a $69 million capped-call premium, retire the 2028 notes via $438.3 million of exchanges, and announce a September 23, 2026 redemption of the remaining $136.7 million of 2028 paper, effectively resetting the capital structure at a higher coupon but with the maturity ladder pushed out and dilution capped at a higher strike.
We see the equity as sitting on a re-accelerating data-center and semiconductor capex cycle, an above-consensus 30% revenue growth print, and a step-function expansion in operating leverage that has lifted non-GAAP operating margin from 14.6% a year ago to 21.9% in the latest quarter, a 730-basis-point swing. The mechanism we underwrite is straightforward: the company is converting share gains in AI data-center power delivery and a recovering wafer-fab equipment (WFE) cycle into recurring design wins, and the September quarter guidance of $640 million in revenue at the midpoint plus a non-GAAP EPS guide of $3.00 implies another double-digit sequential growth step. The market is pricing this report, in our view, as an in-line beat on a stock that has already run; the question we care about is whether the rate of change in margin and data-center revenue is durable enough to justify a higher multiple into year-end.
The single load-bearing risk is concentration in the WFE and AI-server power customer base. With Semiconductor Equipment at $278.3 million and Data Center Computing at $191.5 million, two end markets now represent 82% of quarterly revenue, and a 10% pullback in either segment would mechanically take roughly 5% off the top line. The next data point that tests the thesis is the September 2026 quarter print, which represents the first full quarter of post-refinancing earnings and the first clean read on whether the 2031 note proceeds and the 2028 retirement are flowing through to a lower diluted share count than the 42.3 million reported in Q2.
