Achieve Life Sciences closed the second quarter of 2026 with the financial and organizational infrastructure for a cytisinicline re-launch positioned around a single load-bearing catalyst: the company's planned New Drug Application resubmission in the fourth quarter of 2026, with potential U.S. Food and Drug Administration approval in the first half of 2027 and U.S. commercial launch to follow. The Complete Response Letter received on June 20, 2026 raised no question about cytisinicline's clinical efficacy or safety, with the agency's two deficiencies tied to current Good Manufacturing Practice observations at the prior third-party drug product manufacturer and to final product labeling that was not completed by the action date. The most consequential item in the quarter was the April 2026 private placement of common stock and accompanying common warrants, which delivered approximately $180.0 million of upfront gross proceeds and a contingent $174.0 million of additional capital from common warrants that only become exercisable upon, and expire twenty business days after, the public announcement of cytisinicline's FDA approval for smoking cessation in adults.
The accounting consequence of the April private placement is what dominates the second-quarter income statement. The accompanying common warrants and certain pre-funded warrants were classified as liabilities rather than equity and are re-measured at fair value each period, producing a non-cash charge of $48.5 million in the second quarter plus a one-time warrant issuance cost of $8.8 million. Net loss for the quarter therefore reached $74.8 million, versus $12.7 million in the second quarter of 2025, even though the underlying operating loss was $18.4 million. Strip the $57.3 million of non-operating, non-cash and one-time items back out and the quarterly cash absorption profile reads like a research-and-development-stage company that is in the middle of building a commercial organization, which is what is actually happening. Cash, cash equivalents and marketable securities stood at $187.3 million at June 30, 2026, up from $36.4 million at year-end 2025, a $150.9 million increase that reflects net proceeds from the April private placement, partially offset by $17.7 million of net cash used in operations across the first half and the placement of $123.5 million of cash into marketable securities as part of the company's normal investment-policy operations.
The investor question the quarter is built to answer is whether the path from the Complete Response Letter to a 2027 commercial launch is operationally and financially credible. The funding mechanics have changed: the company added a new chief executive, six new directors, senior commercial, chemistry, manufacturing and controls, and quality leadership; completed analytical method transfer, manufacturing of a first engineering batch, and full qualification of testing procedures at the U.S.-based replacement manufacturer Adare Pharma Solutions; and, two days after the second-quarter close, filed a prospectus supplement registering an at-the-market offering program for up to $150.0 million of common stock through Jefferies as sales agent. The next data point that tests the cytisinicline re-launch thesis is the company's fourth-quarter 2026 New Drug Application resubmission, followed by the U.S. Food and Drug Administration's six-month review and a potential first-half 2027 approval. Until that date, the equity is a bet on the resubmission going in clean and the manufacturing transition being accepted by the agency on the first review cycle.
